Joint Venture Associate

What we're looking for:

We need a 2nd-6th year associate with experience in real estate transactional work — ideally joint venture structuring, LLC/partnership agreement drafting, or related deal work — who wants to grow into a dedicated JV practice under direct partner mentorship. You should be comfortable in an in-office, apprenticeship-style environment and have strong academic credentials from a sophisticated law firm. Bonus points if you have a Tax LLM or coursework in tax-integrated deal structuring.

What you'll do:

- Structure, draft, and negotiate complex real estate joint venture agreements and related transaction documents for deals valued in the hundreds of millions to billions of dollars

- Work directly alongside practice co-heads Josh Kaplan and David Resnick on sophisticated JV transactions for institutional investors, PE funds, developers, family offices, and operating partners across the U.S.

- Draft and negotiate LLC and partnership agreements, including governance structures, tiered distribution waterfalls, exit strategies, and dispute resolution provisions

- Analyze and structure capital stack compositions involving preferred equity, part-sale/part-contribution arrangements, and creative tax-integrated strategies

- Participate in client calls and deal negotiations (in-person, apprenticeship-style) across every real estate asset class — multifamily, commercial, condo, retail, office, hospitality, mixed-use, and industrial

- Take on meaningful deal responsibility early in a lean, high-deal-flow practice with a clear partnership track

About the team & culture:

- Bilzin Sumberg's Joint Venture Practice is one of the most sophisticated in Florida, with a dedicated practice group (not buried in a larger RE department)

- Both co-heads hold NYU Tax LLMs and were trained by Marshall Pasternak — tax strategy is integrated directly into deal structuring

- In-office 3-4 days/week minimum (team expectation); this is a hands-on, learn-by-doing-beside-the-partner practice

- 1,900 billable hour target with year-end bonus eligibility

- Single office in Miami (1450 Brickell Avenue) — Florida zero state income tax is a significant take-home advantage

- Firm covers relocation and Florida bar costs for out-of-market hires
