These terms govern your use of vouchward.ai (the "Site"), operated by Elio Gerges, a sole proprietor doing business as Vouchward, Los Angeles County, California ("Vouchward", "we", "us"). By using the Site you agree to these terms. If you do not agree, do not use the Site.

1. What Vouchward is, and is not

Vouchward is an independent recruiting practice. We evaluate candidates and, with their consent, refer them toward open roles, including through third party marketplaces such as Paraform.

Vouchward is not an employer of candidates, does not guarantee any interview, offer, or employment outcome, and is not an agent of any candidate. We charge candidates nothing. Because candidates never pay us any fee, Vouchward does not operate as a fee charging employment agency within the meaning of California Civil Code section 1812.501. The terms that govern the actual referral relationship between you and Vouchward are the Referral Engagement Terms at /legal/referral-engagement-terms, and if those terms conflict with these, those terms control for the referral relationship.

2. Eligibility

You must be at least 18 years old and located in the United States or Canada to submit information through the Site.

3. Your information must be true

When you submit information, you confirm it is accurate, current, and yours to share. Submitting another person's information as your own, or materially false credentials, is a violation of these terms and grounds for immediate removal from our records.

4. Acceptable use

You agree not to: probe, scan, or test the vulnerability of the Site; attempt to access another person's record; scrape or harvest data from the Site; upload malicious code; or use the Site to send spam or unlawful content. We may suspend access to protect the Site or other users.

5. Intellectual property

The Site, the Vouchward name and mark, and all content we authored are our property. You may view and print pages for personal use. You may not reproduce our content commercially without written permission. Your resume and the information you submit remain yours; you grant us a limited licence to store and use them solely to provide the service described in the Privacy Notice and Referral Engagement Terms.

6. Third party services

Referrals may be transmitted through Paraform, Inc. Your relationship with Paraform, including its confirmation emails and platform, is governed by Paraform's own terms and privacy policy. Links to third party sites are provided for convenience and are not endorsements.

7. Disclaimers

The Site and our services are provided as available and without warranties of any kind, express or implied, including fitness for a particular purpose. We do not warrant that any referral will result in an interview, offer, or employment.

8. Limitation of liability

To the fullest extent permitted by law, Vouchward's total liability for any claim arising out of the Site or these terms will not exceed one hundred United States dollars. We are not liable for indirect, incidental, special, or consequential damages. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you. Nothing in these terms limits liability that cannot be limited under California law.

9. Governing law and venue

These terms are governed by California law. Any dispute will be resolved in the state or federal courts located in Los Angeles County, California, and you consent to that venue.

10. Changes

We may update these terms. The version and effective date at the top will change, and continued use of the Site after a change is acceptance of the new terms.
