Corporate Associate [Raleigh or Chapel Hill, NC]

We are looking for a Corporate Associate with 3-6 years of experience to join a boutique, collaborative law firm that advises high-growth technology and life sciences companies and the venture capital investors who fund them. This is a proactive growth hire on a tight-knit team where you'll work directly with partners on sophisticated deals in Raleigh's thriving innovation ecosystem.

What will you be doing?

- Hands-on drafting, negotiating, and managing venture capital financings (including SAFEs and preferred stock issuances)

- Working directly with partners on M&A transactions and corporate deals for emerging growth companies

- Acting as outside general counsel — counseling clients, reviewing contracts, and drafting consents

- Managing capitalization tables (Carta) and preparing waterfalls and pro formas

- Conducting transactional due diligence across a variety of complex corporate transactions

Key Requirements

- 3-6 years of corporate transactional experience with genuine depth in venture capital financings (not just peripheral exposure — must have actually done VC deals)

- Experience working with emerging companies and emerging growth companies in the tech/biotech/life sciences space

- North Carolina bar license (highly preferred) or ability to become licensed in NC (required)

- A compelling reason for being in or relocating to Raleigh — connection to the area, family, the RTP ecosystem, etc.

- Strong academic credentials from a reputable law school
