What you would be doing
- Lead complex capital markets transactions, including IPOs, follow-on offerings, high-yield and investment-grade debt, and convertible notes.
- Take ownership of the day-to-day deal management, including running closing checklists, drafting primary documents, and managing the transaction process.
- Work closely with public companies, investment banks, and private equity clients to execute landmark equity and debt deals.
- Coordinate with underwriters, opposing counsel, and internal teams to ensure seamless transaction execution.
- Serve as the primary point of contact for clients on a transactional basis, providing sophisticated legal advice.
- Analyze and structure complex and non-traditional transactions such as tender offers, exchange offers, and recapitalizations.

What we're looking for:
We are seeking a dedicated Capital Markets Associate from the classes of 2020–2023 with deep transactional experience at a large law firm. You should be comfortable leading complex deals, including IPOs, high-yield debt, and other securities offerings, and have a track record of managing transactions from start to finish. Bonus points if you have breadth across both equity and debt products and experience with non-traditional transactions like tender offers or spin-offs.
